Terms of Service
These terms apply to your use of ediconnections.com and the EDI Connections Admin, Client and Trading Partner portals (the "Service"). By using the Service, you agree to them on behalf of yourself and the company you represent.
1. Service agreements
If your company has signed a service agreement with EDI Connections, that agreement governs your use of the Service and takes precedence over these terms wherever they differ.
2. Accounts
Portal accounts are created for clients, trading partners and their team members by invitation or by an administrator. You are responsible for keeping your sign-in details confidential, for activity under your account, and for telling us promptly if you suspect unauthorized access. Company administrators are responsible for adding and removing their own users.
3. Acceptable use
You agree not to:
- access data or accounts that don't belong to you or your company;
- probe, scan or test the Service for vulnerabilities without our written permission (see Security for how to report an issue);
- interfere with or overload the Service, or try to get around its security;
- send documents that are fraudulent, unlawful, or that you are not authorized to send;
- resell or provide the Service to others except as agreed with us.
4. Your data
You keep all rights to the documents, catalogs and other data you or your trading partners submit ("Customer Data"). You give us permission to store, process, translate and deliver Customer Data as needed to provide the Service, including delivering it to the trading partners and systems you have configured. Our handling of personal information is described in our Privacy Policy.
5. Documents and transactions
The Service translates and transmits documents based on the data you enter and the settings configured for each relationship. You are responsible for the accuracy of the orders, quantities, prices and other information you submit, and for reviewing documents before approving or sending them. Commercial terms between you and your trading partners, such as pricing, payment, delivery and returns, are between you and them. EDI Connections is not a party to those transactions.
6. Availability and changes to the Service
We work to keep the Service available and to deliver documents promptly, and we publish current health on our Status page. The Service may occasionally be unavailable for maintenance or for reasons beyond our control. Unless your service agreement says otherwise, we do not guarantee any particular level of availability. We may improve or change features over time.
7. Fees
Fees for the Service are set out in your service agreement or order.
8. Our property
The Service, including its software, maps, design and content, is owned by EDI Connections and protected by intellectual property laws. These terms do not give you any rights to it beyond using the Service as described here. If you send us feedback, we may use it without obligation to you.
9. Disclaimers
Except as stated in your service agreement, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
10. Limitation of liability
To the extent permitted by law, EDI Connections will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the Service. Unless your service agreement says otherwise, our total liability for any claim relating to the Service is limited to the fees you paid us for the Service in the 12 months before the claim.
11. Suspension and termination
We may suspend or end access to the Service if these terms are breached, if required by law, or to protect the Service or other customers. Termination of a paid service follows your service agreement.
12. Changes to these terms
We may update these terms from time to time. We will change the date at the top of this page, and for significant changes we will notify account administrators. Continuing to use the Service after a change means you accept the updated terms.
